G4S, the world’s leading international security solutions group, today announces the signing of a sale and purchase agreement to acquire Adesta LLC and Adesta LP, (“Adesta”) from McCarthy Group, Inc and a group of senior management employees for a total cash consideration of $66 million on an enterprise value basis. Adesta had revenues of $92 million in 2008.

Adesta is US-based and provides systems integration and project management services for integrated security systems and communication systems. The business has three areas of focus related to secure solutions for critical infrastructure – seaports, other critical infrastructure and critical assets and broadband communications networks often used to carry CCTV data.

In particular, we believe Adesta can add considerable value to our unique solutions approach for chemical/petrochemical infrastructure security.”

Grahame Gibson, Regional President, G4S North America said “G4S’s capability to deliver advanced technology solutions efficiently to US customers will be materially advanced by the Adesta acquisition and access to Touchcom’s One Facility software (acquired in 2008) will enhance Adesta’s ability to grow its security–related business.”

Completion of the acquisition will be subject to customary closing conditions and relevant regulatory approvals.
